Are you a seasoned financial professional looking to contribute with your expertise to the mobilization of capital for the protection and restoration of tropical landscapes? Acre is supporting a Dutch-based impact investment fund focused on achieving forest conservation and restoration in tropical jurisdictions.

The Fund is managed by the Board of Directors (the "Board") who has general responsibility for all aspects of the management of the Fund and has the decision-making powers for carrying out the objectives of the Fund as well as the legal authority to bind the Fund with respect to third parties.

Currently, The Fund is seeking to find an additional board member who will be appointed for a term of two years and, upon expiry of such term, will be eligible to be re-appointed for up to a maximum of four consecutive terms of two years each (including the first term).

Responsibilities:

On some strategic matters, as outlined in the Articles of Incorporation of the Fund, the Board consults the Fund's Advisory Board (the "AB"), comprised of diverse stakeholders, including representatives of the contributors. The board has also delegated certain of its responsibilities to the Fund's Credit Committee (the "CC") and outsourced other functions to its Investment Advisor, Board Advisor, and Fund Administrator. The CC and all service providers remain under the supervision of the Board and report either directly or indirectly to them.

Your responsibilities and duties as a member of the Board will be equally shared by all members. The below list is by no means exhaustive as the Board must be able to act on behalf of the Fund in all circumstances to achieve its mission and objective unless expressly reserved to other governance bodies by law or by the Articles.

  • You will work with other board members to determine the strategy and course of conduct of the management and business affairs of the Fund, as well as review its financial, impact and E&S performance.

  • Over circa 20-25 days per annum including 2 board meetings to review, and advise on, the following areas of the funds' activities:

    • Fund Annual Business Plan and Financial Reporting

    • Corporate Governance

    • Fund Documentation

    • Contributors and Capital Raising

    • Fund Operation

Required skills and qualifications:

  • You have relevant senior experience of not less than 15 years in fund management, credit investments, climate finance, or commodity finance in emerging and frontier markets

  • You relate or have had exposure to Tropical Forest jurisdictions (I.e., South-East Asia, Latin America and West Africa, being this the Fund's geographic focus

  • You are committed to generating impact and contributing to transformational changes, ideally familiar with global environmental & social (E&S) performance standards (e.g., IFC PS)

There is scope for the majority of this work to be done remotely however all board members are expected to be able to meet the team in person periodically as required and attend the two annual board meetings in person.
