As backers of sustainable entrepreneurship, ESG has always been at the heart of their strategy. Having just launched two Article 9 funds in 2022, the firm is looking to hire an experienced In-house Legal Counsel.

Reporting to the Corporate Secretary, the In-house Legal Counsel will play a key role in supporting the firm in various projects and internal teams in compliance with the applicable regulations.

Your responsibilities:

  • Participate in the structuring of investment vehicles in France and possibly in other countries managed by the firm.

  • Support the fundraising process during the marketing phase by negotiating/interacting with investors and their advisers during the subscription process.

  • Liaise with external advisers and advise internal teams in any aspects related to compliance, risk management, and regulation.

  • Contribute to the investment and divestment operations of the investment vehicles, while providing advice to the management teams throughout the life cycle of the investments.

  • Participate in the various day-to-day legal tasks relating to the management company, ensuring an effective and efficient flow of information and response.

Your profile:

  • You have 5 to 8 years of professional experience in a portfolio management company and/or law firm, providing skills and experience in fund structuring, associated regulation in fundraising, contractual negotiations with French and foreign investors, and investment and divestment transactions in private equity, infrastructure, or venture capital.

  • You have a European law degree, ideally completed by a master's or a post-graduate degree from an Anglo-Saxon university (LL.M.), and a qualification to practice law in France.

  • Private Equity skills: knowledge of the business, client typology, fund typology, different investment strategies, and the investment and divestment cycle.

  • Investment vehicle skills: Depending on the type of vehicle, familiarity with the documents to be produced and the content of the regulations. Ability to negotiate/exchange with subscribers during subscriptions and adjustments to documentation.

  • Investment/divestment skills: Mastering the stages of the investment process and the related documents (NDA, LOI, SPA, SHA, GAP, Articles of Association, Manpack, debt contract, etc.). Ability to support management teams during negotiations/exchanges with counterparties.

  • Strong work ethic, excellent interpersonal skills, and a commitment to professional integrity.
